General Terms and Conditions


1. General

The following Business Terms and Conditions are valid at the time of the confirmed order between the customer and CSP SHOEWEAR & CLOTHING – Cinar & Santos Palma.
The customer is defined as a natural and judicial person, who enters into a business agreement with CSP SHOEWEAR & CLOTHING – Cinar & Santos Palma. Any agreements which depart from these Business Terms and Conditions shall expressly require the written agreement of CSP SHOEWEAR & CLOTHING – Cinar & Santos Palma.

2. Product Information

All photos, descriptions and illustrations of the products for sale are samples only and are not specifically the object of the sales contract.
The customer can obtain additional information about the products by email.
Insignificant but recognisable deviations in shape and colour from the sample cannot always be avoided. This does not constitute a product defect to be redressed by CSP SHOEWEAR & CLOTHING. Statutory warranty claims remain unaffected.
2. Product Order, Contract Agreement and Content

2.1 Order

The contract or sales contract between the Customer and CSP SHOEWEAR & CLOTHING – Cinar & Santos Palma results from the customer order confirmed to CSP SHOEWEAR & CLOTHING – Cinar & Santos Palma. The customer order is concluded online via the Online Shop through confirmation of the shopping cart and completion of the order form.
The customer can pre-select a product without a purchase obligation by clicking the appropriate button. The product selection can be viewed in the shopping cart by clicking on the appropriate „cart“ icon on the top right button of the website. The shopping items selected in the cart can be removed again. If the customer decides to buy the selected product/s, the customer proceeds to checkout to fill in their personal data and adress.
Required data fields are indicated. After entering the personal data, the customer chooses the preferred payment method and clicks the „continue“ button to proceed to the delivery selection page. After choosing the preferred delivery method, the customer clicks the „continue“ button to finally review the full order summary, where all data entries can be checked again.
The customer can make changes by clicking the „Back“ button on the internet browser. By clicking the „to checkout“ button the customer arrives at the online shopping page where the order is finally concluded. The process can be interrupted at any point in time by closing the browser window.

2.2 Contract Agreement and Content

CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma reserves the right to decline online product orders.
In the event of a declined order, the customer will not incur any costs, except for their internet connection cost. The sales contract between the customer and CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma results from the customer concluding the order from the online shopping cart of their selected products.
CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma can confirm acceptance of the customer order and shipping by e-mail or by direct shipping of the goods. If the receipt of the order is not explicitly declared, then the goods delivery validates the order acceptance. Confirmation of the order receipt however does not yet qualify as an order acceptance.
By placing the order, the customer agrees to the General Business Terms and Conditions of CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma. 

3. Prices and Delivery Cost

Unless otherwise indicated, all prices are valid inclusive of VAT and advanced recycling charges. Shipping costs are calculated according to the tarifs published in the Online Shop.
For online orders, the quoted prices on the internet website www.cspfuture.com are valid at the time of the order. The payable amount (product price plus applicable delivery charges) will be confirmed to the customer during the online order process.

4. Shipping

Delivery of goods from CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma to the customer adress will occur upon receipt of the customer’s payment, pending the order acceptance by CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma.
Shipping generally takes place via the Swiss Post. However CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma remains free to choose another delivery service at any time.
In the event of temporary unavailability of certain items for larger shipments, we will generally await the arrival of the missing items to fully complete the order list, prior to shipping the order to the customer. In case any individual products are no longer deliverable, the prepaid amount of the undeliverable goods will be refunded to the customer’s credit card account. In exceptional cases, this amount may alternately be repaid to the customer’s bank account. 

5. Warranty of Product Information, Availability and Guarantee Terms

As the products displayed in the Online Shop are approximate samples, we do not guarantee that the delivered product will look exactly the same as on the photographs. CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma is consistently concerned to best inform our customers about the offered products and services. 
This information is partially directly obtained from the manufacturers and presented in the Online Shop. Any and all information published online by CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma about the products, services, terms and length of the product guarantees are supplied without liability and are not to understood as an express warranty. 
CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma does not accept any liability for the accuracy, completeness and timeliness of the information. CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma endeavours to best update and display product availability. Manufacturing delays, supply bottlenecks or inaccurate inventory may, on occasion, result in a delayed delivery to the customer. Hence all information regarding customer delivery is not legally binding, is without liability, and can be altered at any time on short notice. Goods may also be non-deliverable if the product is no longer manufactured or if it cannot be delivered for any reason.
A two year warranty period is valid from the date of the customer delivery, whereby CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma reserves the right to fulfill the warranty through the delivered goods’ improvement, replacement, exchange or a reduction of the sales price. This warranty will only be fulfilled if there is no reason for a warranty exclusion, owing to signs of product damage from wear and tear, incorrect usage, wrongful manipulation, or external circumstances resulting from natural hazards, moisture, drop damage or impact damage. CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma does not guarantee any expendable wear and tear parts such as batteries and battery packs. 
Insofar as there is no other written agreement, the warranty provided is always a Bring-In Guarantee. The customer is fully responsible for the cost of the return shipment, any faulty return shipment, as well as for the risk of damages or loss that may occur during the return shipment.

6. Defects

The customer is obliged to check whether the delivered products from CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma conform to the customer order. In the event that delivered goods do not match the order, the customers is obliged to inform the customer service via e-mail or by written complaint, and to return the respective item.
In case of a product defect, the customer must inform CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma by e-mail or by written complaint within five working days from delivery of the goods. In the event of a product defect substantially inhibiting the product usability, the customer can demand a product exchange in the customer complaint, which is sent by email or written letter. In this case, the customer must prove the inhibited usability of the item. In all other cases, the customer only maintains the right to a reduction of the sales price.
Returned goods must be delivered by registered post from the customer to CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma, together with its original packaging, including the original invoice, cartons, care instructions, price labels, booklets and any other accessories. The customer carries the risk of a faulty return shipment, as well as for damages or loss that may occur during the return shipment.

7. Right of return / Exchange

The return or exchange of purchased goods is permissable. The costs of the return shipment must be fully paid by the customer. The maximum price basis for all goods returns and exchanges is the current sales price valid on the date of the goods return or exchange. The goods exchange remains at the discretion of CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma, either through a shopping voucher or by refund to the customer’s credit card account.
In case of received goods which were damaged during transport, the customer must register their complaint by e-mail or written letter within 48 hours of receipt of the goods, otherwise the right to a replacement of these goods will be forfeited. A goods return or exchange is possible only within 8 days of the date of the customer’s receipt of delivery.
The products and all their accessories must be correctly packaged and sent back in their original packaging. The return shipment must be sent by registered post. The customer carries the risk of a faulty return shipment or of goods damages or losses that may occur during the return shipment.

8. Exclusion of return shipments

Hygiene products and articles that were opened, worn, used or damaged, or which were specially ordered, manufactured, custom manufactured or individually configured for the customer, and which are not found to be in a perfect condition, or which are returned incomplete without their original product packaging, are fully excluded from the right of return or exchange.

9. Non acceptance

Should the customer not receive the goods delivery (e.g. owing to non-collection of the shipment for reasons on the part of the customer) CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma reserves the right to free itself from any and all liability, and to claim the cost and risk of the shipment to the customer’s account.
In addition, CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma reserves the right to sell these goods elsewhere or to demand the return shipment of the goods. The customer carries the full risk of the damages and resulting compensation to CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma.

10. Voucher

Shopping vouchers that are won or credited to the customer’s account are valid for a period of one year, and cannot be converted into cash. For purchased vouchers the Article 128 OR of the Swiss Code of Obligations will apply (Schweizer Obligationenrecht Art. 128 OR).

11. Claims and Information

For all information, questions and claims relating to online orders or regarding the products or the company of CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma, the customer is kindly requested to adress their correspondence by email to: info@csp-fashion.com.

12. Liability

Compensation claims against CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma, or against the representatives or the performing accomplices of CSP SHOEWEAR & CLOTHING - Cinar & Santos, resulting from impossibility of services delivery, default in performance of contract, default during the conclusion of the contract, or claims in tort are fully ruled out, insofar as there is no intentional misconduct or gross negligence involved.
Any and all liability for indirect damages and subsequent losses or damages, resulting from usage, professional error or performance failure are ruled out.

13. Brands / Protected Commercial Rights

The „CSP“ Brand as well as all other Brands of CSP products, accessories, packaging - regardless of whether these concern registered or non-registered designs, word or figurative marks, photos or logos - remain the sole and exclusive property of the CSP Shoewear & Clothing Cinar & Santos Palma company. Any partial or complete reproduction, modification, uploading, transferral and publication of these brands, illustrations, photos or logos, regardless of the reason therefore, is strictly forbidden without the prior and express written consent of the CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma company.
The same conditions apply to any and all combinations with, or links to, other brands, symbols, logos and generally any distinguishing sign intended as a composed logo. The same conditions further apply to all copyrights, illustrations, models and patents which are the sole and exlcusive property of CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma.

14. Force Majeure 

In the event of unforeseen circumstances, or due to force majeure, which may hinder or delay the performance of duty of services of CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma, the obligation of the service provider may be hindered. Such circumstances referred to include war, mass protests, revolts, social unrest, strikes of any kind, and delays of any delivery to CSP Shoewear & Clothing - Cinar & Santos Palma.
In the occurence of such an event, CSP SHOEWEAR & CLOTHING - Cinar & Santos Palma will immediately inform our customer. Should the obligations of CSP Shoewear & Clothing - Cinar & Santos Palma be hindered for longer than a period of two weeks, the customer retains the right to cancel the order and withdraw from the sales contract.
Repayment of the purchase price of the prepaid goods shall take place according to §7 of the General Business Terms and Conditions. Should the ordered goods definitively no longer be available, the customer is permitted to withdraw from the sales contract without a period of notice.

15. Final Clause

Should one or several of the rules included in these General Business Terms and Conditions be ineffective, this does not in any manner invalidate the full sales contract. In this case, the ineffective rules will be replaced by the relevant legal regulation. The sales contract is subject to Swiss law. The court of jurisdiction and place of fulfillment is Lenzburg.
